Terms governing manufacturing services and optical inspection equipment sales.
These Terms of Service ("Terms") govern the custom manufacturing and fabrication services and the optical inspection equipment sales provided by George Products Company, Inc. ("we," "us," "the Company"), a company organized under the laws of the State of Delaware, located at 110 Sleepy Hollow Dr, Middletown, DE 19709. By requesting a quote, placing an order, or otherwise engaging our services, you agree to these Terms.
We provide custom manufacturing and fabrication services, including metal stamping, precision fabrication, machining, tooling, prototype development, and production of specialty metal components, based on the specifications, drawings, and requirements provided by the customer.
We manufacture and sell precision optical inspection equipment. Sales of this equipment are subject to the specific terms agreed upon at the time of quote or order, including any terms regarding delivery, payment, and warranty as expressly stated in the applicable order documentation.
Quotes and estimates are provided based on the information, specifications, and quantities supplied by the customer at the time of the request. Quotes are subject to change if project specifications, quantities, or requirements change after the quote is issued.
Customers are responsible for providing accurate and complete specifications, drawings, and requirements for any manufacturing project. We manufacture parts and components based on the information provided by the customer, and we are not responsible for errors resulting from inaccurate or incomplete specifications supplied by the customer.
Where prototype development is part of a project, prototypes are produced based on the customer's specifications and are intended for customer review and validation prior to production. Approval of a prototype by the customer will generally be treated as approval of the corresponding specification for production purposes, unless otherwise agreed in writing.
Production orders are manufactured according to the specifications agreed upon between the customer and George Products Company, Inc. Quantities, materials, and timelines for production orders will be set out in the applicable order or project agreement.
For larger or more complex projects, a separate project agreement, purchase order, or written confirmation may be used to document the specific terms of the engagement, including scope, pricing, and schedule. In the event of a conflict, the terms of a signed project agreement will govern over these general Terms of Service.
Payment for manufacturing services and equipment sales is generally invoice-based. Invoices are due according to the payment terms specified on the invoice or in the applicable project agreement.
For certain projects, we may require a deposit or milestone-based payments prior to beginning tooling, production, or fulfillment. Any such requirement will be communicated to the customer as part of the quote or project agreement.
Changes to an order's specifications, quantities, or scope after acceptance may affect pricing, lead time, and scheduling. Cancellations of orders already in production may be subject to charges for work performed, materials committed, and tooling costs incurred up to the point of cancellation.
Lead times and production schedules provided in a quote or order confirmation are estimates based on the information available at the time. Lead times may be affected by specification changes, material availability, order volume, and other factors.
Where shipping or delivery is part of an order, shipping terms, carrier arrangements, and delivery timing will be set out in the applicable quote or order confirmation. Title and risk of loss for shipped goods will transfer as specified in that documentation.
Except as expressly provided in a written quote, order confirmation, or project agreement, George Products Company, Inc. makes no warranties, express or implied, regarding manufactured parts, fabricated components, or optical inspection equipment. Any warranty applicable to a specific order will be stated in writing at the time of quote or sale.
To the fullest extent permitted by law, George Products Company, Inc. will not be liable for any indirect, incidental, consequential, or special damages arising from or related to our manufacturing services or optical inspection equipment sales. Our total liability for any claim will not exceed the amount paid by the customer for the specific order giving rise to the claim.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
